Terms of Service

    These Terms of Service ("Terms") govern your access to and use of sell.ke's point-of-sale, inventory, and ecommerce platform, including our web apps, mobile apps, and website (together, "the Service"), operated by sell.ke ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms. If you don't agree, please don't use the Service.

    1. Who can use the Service

    You must be at least 18 years old and able to form a binding contract to create an account. If you're signing up on behalf of a business, you confirm you have authority to bind that business to these Terms.

    2. Your account

    • You're responsible for keeping your login credentials confidential and for all activity under your account.
    • You must provide accurate business and contact information, and keep it up to date.
    • Business owners can invite staff and assign roles; you're responsible for managing who has access to your account.
    • Notify us immediately at info@sell.ke if you suspect unauthorised access.

    3. Subscriptions & billing

    • The Service is offered on subscription plans billed monthly (or as otherwise agreed), payable via M-Pesa, Paystack, or other supported methods.
    • Some plans include a free trial period; at the end of the trial, continued use requires an active paid subscription.
    • Fees are non-refundable except where required by law or expressly stated otherwise.
    • If a subscription lapses, we may suspend access to paid features until payment is made, without deleting your data during a reasonable grace period.
    • We may change our pricing with advance notice; continued use after a price change takes effect constitutes acceptance.

    4. Acceptable use

    You agree not to:

    • Use the Service for any unlawful purpose, or to process fraudulent transactions.
    • Attempt to gain unauthorised access to any part of the Service or another tenant's data.
    • Reverse-engineer, decompile, or resell the Service without our written permission.
    • Upload malicious code or interfere with the Service's normal operation.
    • Use the Service to store or transmit content that is illegal, defamatory, or infringes on others' rights.

    5. Your data & content

    You own the business, product, customer, and transaction data you enter into the Service ("Your Data"). You grant us a limited licence to host, process, and display Your Data solely to provide and improve the Service. See our Privacy Policy for how we handle data, and our Delete My Data page for how to permanently delete Your Data.

    You're responsible for the accuracy and legality of Your Data, including tax invoices and pricing information you generate through the Service.

    6. Third-party services

    The Service integrates with third parties — including Safaricom M-Pesa, Paystack, and KRA eTIMS — to process payments and tax filings. Your use of those integrations is also subject to those providers' own terms and is outside our direct control. We aren't responsible for outages or errors originating from third-party providers.

    7. Intellectual property

    The Service, including its software, design, and branding, is owned by sell.ke and protected by intellectual property laws. These Terms don't grant you any rights to our trademarks, logos, or source code beyond what's needed to use the Service as intended.

    8. Service availability

    We aim to keep the Service available and reliable, including offline mode for point-of-sale operation during connectivity gaps. However, we don't guarantee uninterrupted or error-free operation, and may perform maintenance, updates, or temporary suspensions as needed.

    9. Termination

    You may cancel your subscription or delete your account at any time (see our Delete My Data page). We may suspend or terminate accounts that violate these Terms, engage in fraud, or pose a security risk, with notice where reasonably possible.

    10. Limitation of liability

    To the maximum extent permitted by law, sell.ke is not liable for indirect, incidental, or consequential damages arising from your use of the Service, including lost profits or data, except where caused by our gross negligence or wilful misconduct. Our total liability for any claim is limited to the fees you paid us in the 3 months preceding the claim.

    11. Indemnification

    You agree to indemnify and hold sell.ke harmless from claims arising from your misuse of the Service, violation of these Terms, or violation of any law or third-party right.

    12. Changes to these Terms

    We may update these Terms from time to time. We'll notify you of material changes by email or in-app notice. Continued use of the Service after changes take effect means you accept the updated Terms.

    13. Governing law

    These Terms are governed by the laws of the Republic of Kenya. Any disputes arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Kenya.
